第1条(適用)

本利用規約(以下「本規約」)は、株式会社South Gate(以下「当社」)が提供するナレッジ管理サービス「Structa」(以下「本サービス」)の 利用条件を定めるものです。ユーザーの皆さまには、本規約に同意いただいたうえで本サービスをご利用いただきます。

第2条(利用登録)

本サービスは、Googleアカウント、または当社が利用を認めた組織のMicrosoftアカウント(Microsoft Entra ID)による認証を通じてご利用いただけます。 登録の申請が当社により承認された時点で、利用登録が完了するものとします。 当社は、以下の場合に登録を拒否することがあります。

  • 過去に本規約違反等により登録を取り消されたことがある場合
  • 登録情報に虚偽・誤記・記載漏れがある場合
  • その他、当社が利用登録を適当でないと判断した場合

第3条(アカウントおよび接続キーの管理)

ユーザーは、本サービスに紐づくGoogleアカウントまたはMicrosoftアカウント、ならびに当社が発行する接続キー(AIアシスタント等との接続に用いるAPIキー)の管理について自ら責任を負うものとし、接続キーを第三者に開示・共有してはなりません。 本サービスに起因して生じたアカウントの不正利用については、当社は責任を負いません。

第4条(禁止事項)

ユーザーは、本サービスの利用にあたり、以下の行為をしてはなりません。

  • 法令または公序良俗に違反する行為
  • 犯罪行為に関連する行為
  • 当社または第三者の知的財産権・肖像権・プライバシー・名誉その他の権利を侵害する行為
  • 当社または第三者のサーバーやネットワークに過度な負荷をかける行為
  • 本サービスの運営を妨害するおそれのある行為
  • 他のユーザーに関する個人情報等を収集または蓄積する行為
  • 不正アクセスをし、またはこれを試みる行為
  • 逆アセンブル、逆コンパイル、リバースエンジニアリングその他本サービスのソースコードを解析する行為
  • 本サービスに関連して、反社会的勢力に対して直接または間接に利益を供与する行為
  • その他、当社が不適切と判断する行為

第5条(本サービスの提供の停止等)

当社は、以下のいずれかの事由があると判断した場合、ユーザーへの事前通知なく本サービスの全部または一部の提供を停止または中断することができます。

  • 本サービスにかかるコンピュータシステムの保守点検または更新を行う場合
  • 地震・落雷・火災・停電・天災などの不可抗力により本サービスの提供が困難となった場合
  • コンピュータまたは通信回線等が事故により停止した場合
  • その他、当社が本サービスの提供が困難と判断した場合

当社は、本サービスの提供の停止または中断により、ユーザーまたは第三者が被ったいかなる不利益または損害についても、責任を負わないものとします。

第6条(著作権)

ユーザーが本サービスに投稿・登録したコンテンツの著作権はユーザー自身に帰属します。 ただし、当社はサービスの運営・改善・プロモーションのために、無償かつ非独占的にこれを利用できるものとします。 本サービス上に掲載されている当社のロゴ・デザイン・テキスト等の著作権は当社に帰属します。

第7条(利用制限および登録抹消)

当社は、ユーザーが以下のいずれかに該当する場合には、事前の通知なく、ユーザーに対して本サービスの全部もしくは一部の利用制限、またはユーザーとしての登録を抹消することができます。

  • 本規約のいずれかの条項に違反した場合
  • 登録情報に虚偽の事実があることが判明した場合
  • 当社からの連絡に対し、一定期間返答がない場合
  • その他、当社が本サービスの利用を適当でないと判断した場合

第8条(退会)

ユーザーは、当社の定める退会手続きにより、本サービスから退会することができます。 退会後は投稿コンテンツを含むユーザーデータが削除される場合がありますのでご注意ください。

第9条(保証の否認および免責事項)

当社は、本サービスに事実上または法律上の瑕疵(安全性・信頼性・正確性・完全性・有効性・特定の目的への適合性・セキュリティなどに関する欠陥、エラーやバグ、権利侵害などを含みます)がないことを明示的にも黙示的にも保証しておりません。

当社は、本サービスに起因してユーザーに生じたあらゆる損害について責任を負いません。 ただし、消費者契約法の適用がある場合はこの限りではありません。

第10条(サービス内容の変更等)

当社は、ユーザーへの事前通知なしに本サービスの内容を変更、追加または廃止することができるものとします。 本サービスの廃止については、合理的な期間を設けて事前にご案内します。

第11条(利用規約の変更)

当社は必要と判断した場合には、ユーザーへの事前の通知なしに本規約を変更することができます。 変更後の本規約は、当ページに掲載した時点から効力を生じるものとします。 変更後も本サービスをご利用いただいた場合、変更後の規約に同意したものとみなします。

第12条(個人情報の取り扱い)

当社は、本サービスの利用によって取得する個人情報については、当社のプライバシーポリシーに従い適切に取り扱います。

第13条(外部サービスとの連携)

本サービスは、Claude・ChatGPT 等のAIアシスタント、ならびに Google Drive・Notion・Slack・Discord・Microsoft Teams 等の外部サービスと連携してご利用いただけます。 外部サービスのご利用には、各提供者の利用規約等が適用されます。

ユーザーがAIアシスタントに本サービスのナレッジを読み込ませた場合、その内容の取り扱いは当該AIアシスタントの提供者との契約に従います。 当社は、外部サービスの提供の停止・変更、または外部サービスに起因してユーザーに生じた損害について責任を負いません。 ただし、消費者契約法の適用がある場合はこの限りではありません。

第14条(準拠法・裁判管轄)

本規約の解釈にあたっては、日本法を準拠法とします。 本サービスに関して紛争が生じた場合には、当社の本店所在地を管轄する裁判所を専属的合意管轄とします。

Article 1 (Application)

These Terms of Service (the "Terms") set forth the conditions for using Structa (the "Service"), a knowledge management service provided by South Gate Inc. (the "Company"). Users may use the Service upon agreeing to these Terms.

Article 2 (Registration)

The Service is used through authentication with a Google account or with a Microsoft account (Microsoft Entra ID) of an organization the Company has approved. Registration is completed when the Company approves the application for registration. The Company may refuse registration in any of the following cases:

  • The applicant has previously had their registration revoked due to a violation of these Terms or similar grounds
  • The registration information contains false statements, errors, or omissions
  • Any other case in which the Company deems registration to be inappropriate

Article 3 (Management of Accounts and Connection Keys)

Users are responsible for managing the Google account or Microsoft account linked to the Service and the connection keys issued by the Company (API keys used to connect AI assistants and other tools), and shall not disclose or share connection keys with any third party. The Company shall not be liable for any unauthorized use of an account arising from the Service.

Article 4 (Prohibited Conduct)

In using the Service, users shall not engage in any of the following:

  • Conduct that violates laws and regulations or public order and morals
  • Conduct related to criminal acts
  • Conduct that infringes the intellectual property rights, portrait rights, privacy, reputation, or any other rights of the Company or third parties
  • Conduct that places an excessive load on the servers or networks of the Company or third parties
  • Conduct that may interfere with the operation of the Service
  • Collecting or accumulating personal information or similar data about other users
  • Unauthorized access, or any attempt at unauthorized access
  • Disassembling, decompiling, reverse engineering, or otherwise analyzing the source code of the Service
  • Directly or indirectly providing benefits to anti-social forces in connection with the Service
  • Any other conduct the Company deems inappropriate

Article 5 (Suspension of the Service)

The Company may suspend or interrupt the provision of all or part of the Service without prior notice to users if it determines that any of the following applies:

  • Maintenance, inspection, or updating of the computer systems related to the Service
  • Provision of the Service becomes difficult due to force majeure such as earthquakes, lightning, fire, power outages, or natural disasters
  • Computers or communication lines are stopped due to an accident
  • Any other case in which the Company determines that provision of the Service is difficult

The Company shall not be liable for any disadvantage or damage suffered by users or third parties as a result of the suspension or interruption of the Service.

Article 6 (Copyright)

Copyright in content posted or registered by users on the Service belongs to the users themselves. However, the Company may use such content free of charge and on a non-exclusive basis for the operation, improvement, and promotion of the Service. Copyright in the Company's logos, designs, text, and other materials displayed on the Service belongs to the Company.

Article 7 (Restriction of Use and Deregistration)

If a user falls under any of the following, the Company may, without prior notice, restrict the user's use of all or part of the Service or cancel the user's registration:

  • The user has violated any provision of these Terms
  • The registration information is found to contain false facts
  • The user does not respond to communications from the Company for a certain period
  • Any other case in which the Company deems the user's use of the Service to be inappropriate

Article 8 (Withdrawal)

Users may withdraw from the Service by following the withdrawal procedure prescribed by the Company. Please note that after withdrawal, user data, including posted content, may be deleted.

Article 9 (Disclaimer of Warranties and Limitation of Liability)

The Company makes no warranty, express or implied, that the Service is free from defects in fact or in law (including defects relating to safety, reliability, accuracy, completeness, effectiveness, fitness for a particular purpose, or security, as well as errors, bugs, and infringement of rights).

The Company shall not be liable for any damage incurred by users arising from the Service. However, this shall not apply where the Consumer Contract Act of Japan applies.

Article 10 (Changes to the Service)

The Company may change, add to, or discontinue the content of the Service without prior notice to users. If the Service is to be discontinued, the Company will give advance notice with a reasonable period.

Article 11 (Changes to These Terms)

The Company may change these Terms without prior notice to users when it deems necessary. The revised Terms shall take effect when posted on this page. If a user continues to use the Service after the change, the user shall be deemed to have agreed to the revised Terms.

Article 12 (Handling of Personal Information)

The Company will appropriately handle personal information obtained through the use of the Service in accordance with its Privacy Policy.

Article 13 (Integration with External Services)

The Service can be used in conjunction with AI assistants such as Claude and ChatGPT, and with external services such as Google Drive, Notion, Slack, Discord, and Microsoft Teams. The use of external services is subject to the terms of use and other terms of their respective providers.

If a user has an AI assistant read knowledge from the Service, the handling of that content is governed by the user's agreement with the provider of that AI assistant. The Company shall not be liable for the suspension or change of any external service, or for any damage incurred by users arising from external services. However, this shall not apply where the Consumer Contract Act of Japan applies.

Article 14 (Governing Law and Jurisdiction)

These Terms shall be governed by and construed in accordance with the laws of Japan. Any dispute arising in connection with the Service shall be subject to the exclusive jurisdiction of the court having jurisdiction over the location of the Company's head office.
